Affiliate Program Terms & Conditions

1. Agreement Overview

This Affiliate Program Agreement ("Agreement") is between the affiliate ("Affiliate") and E-Clients Consulting LP ("Company"), the creator of Vocoding. By registering for the affiliate program, Affiliate accepts all terms herein.

2. Program Participation

Applications require manual approval during the launch phase. The Company may reject or terminate any application at its sole discretion. Affiliate must be 18 years or older and legally capable of entering into contracts.

3. Commission Structure

  • Launch promotion: 50% commission for the first 90 days after Affiliate approval
  • Standard rate: 30% commission (permanent)
  • Cookie duration: 60 days, last-click attribution
  • Payout schedule: Every 35 days (NET 35, after refund period)
  • Minimum payout: 50€ via Wise
  • Refund clawback: Commissions are automatically reversed if the customer receives a refund within the 30-day guarantee period

4. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

4.1 Self-Referral

Affiliate shall not use their own affiliate link to purchase any Vocoding product for themselves, family members, business partners, or entities they control. Creating multiple accounts or using VPNs to disguise self-referrals is considered fraud. Penalty: immediate termination, commission forfeiture, and license revocation.

4.2 Brand Bidding (PPC Advertising)

Affiliate shall not bid on "Vocoding", misspellings, or brand + modifier terms (e.g., "vocoding coupon", "vocoding discount") on any paid search platform including Google Ads, Bing Ads, Meta Ads, TikTok Ads, or YouTube Ads. Affiliates may not use "vocoding.com" in display URLs. Ads must link to Affiliate's own content, not directly to vocoding.com. All Vocoding brand terms must be added as negative keywords.

4.3 Domain Squatting

Affiliate shall not register, purchase, or maintain any domain containing "Vocoding" or variations (e.g., vocoding.net, getvocoding.com, vocodingdeals.com, vocodingreview.com). Such registration is a material breach subject to domain transfer at Affiliate's expense and legal action under ACPA/UDRP trademark law.

4.4 Cookie Stuffing & Forced Clicks

Placing affiliate tracking cookies without the user's knowing, voluntary click is prohibited. This includes hidden iframes, zero-pixel images, JavaScript redirects, pop-unders, browser extensions, and any form of automated cookie placement.

4.5 Unauthorized Coupon Codes

Affiliate shall not promote, distribute, or publish any coupon code not explicitly assigned by the Company. Submitting Vocoding offers to coupon aggregation sites or browser extensions (e.g., Honey) without approval is prohibited.

4.6 Email Spam

Affiliate shall only send emails to recipients who have opted in to Affiliate's own mailing list. Purchased, rented, or scraped email lists are prohibited. All emails must comply with CAN-SPAM, GDPR, and CASL.

4.7 Misleading Claims

Affiliate shall not make false claims about Vocoding's features, capabilities, or results. Fake reviews, fabricated testimonials, false earnings claims, and artificial urgency/scarcity are prohibited.

4.8 Incentivized Traffic

Offering cashback, rebates, rewards, or any incentive to purchase through an affiliate link is prohibited without prior written approval.

4.9 Malware & Adware

Promoting Vocoding through spyware, malware, browser toolbars, or any software that injects tracking without explicit consent is prohibited.

4.10 Brand Impersonation

Affiliate shall not create social media accounts, groups, or communities that appear to be operated by or officially affiliated with Vocoding. Affiliate may identify as a "Vocoding Partner" without implying official status.

5. FTC Disclosure

Affiliate must include a clear, conspicuous disclosure of the affiliate relationship in every piece of content containing an affiliate link. The disclosure must appear before or alongside the recommendation, be visible on all devices, and use plain language (e.g., "I earn a commission if you purchase through my link").

6. Intellectual Property

Affiliate receives a limited, non-transferable, revocable license to use approved marketing materials. Logos, screenshots, and branding may not be modified.

7. Consequences of Violation

  • Tier 1 — Warning: Written notice with 7-day cure period
  • Tier 2 — Commission Hold: Pending investigation
  • Tier 3 — Commission Reversal: Affected transactions reversed
  • Tier 4 — Termination: Immediate, forfeiture of unpaid commissions, permanent ban
  • Tier 5 — Legal Action: Civil and/or criminal proceedings for fraud

Self-referral, cookie stuffing, domain squatting, and malware distribution result in immediate Tier 4 termination without prior warning.

8. Termination

Either party may terminate at any time. Pending commissions are paid within 30 days if no violations exist. Fraudulent activity results in forfeiture of all unpaid commissions.

9. Modifications

The Company reserves the right to modify these terms with 30 calendar days' notice via email. Continued participation constitutes acceptance.

10. Governing Law

This Agreement is governed by the laws of the European Union and the Kingdom of Spain.
